China: Consultation closed on draft rules for overseas listing

On 23 January 2022, the China Securities Regulatory Commission (CSRC) has closed the consultation on two draft regulations on overseas listing for Chinese companies, the Provisions of the State Council on the Administration of Overseas Securities Offering and Listing by Domestic Companies (Draft for Comments) and the Administrative Measures for the Filing of Overseas Securities Offering and Listing by Domestic Companies (Draft for Comments). The Provisions establish a filing system for overseas listing, as well as legal liabilities for failures to fulfil obligations and fraudulent listing. The Measures set out the scope and application of the filing requirement.
