China: Consultation opened on draft rules for overseas listing

On 24 December 2021, the China Securities Regulatory Commission (CSRC) has published and opened a consultation on two draft regulations on overseas listing for Chinese companies, the Provisions of the State Council on the Administration of Overseas Securities Offering and Listing by Domestic Companies (Draft for Comments) and the Administrative Measures for the Filing of Overseas Securities Offering and Listing by Domestic Companies (Draft for Comments). The Provisions establish a filing system for overseas listing, as well as legal liabilities for failures to fulfil obligations and fraudulent listing. The Measures set out the scope and application of the filing requirement. The consultation will close on 23 January 2022.
