Competition and Markets Authority approved acquisition of ANSYS by Synopsys based on commitments proposed

On 5 March 2025, the Competition and Markets Authority (CMA) accepted the undertakings proposed and decided not to make a reference under the Enterprise Act 2002 on Synopsys, Inc.'s acquisition of ANSYS. The decision follows the CMA’s finding that the merger could result in a substantial lessening of competition in the supply of Register Transfer Level power consumption analysis, optics software, and photonics software. To address the concerns, Synopsys and ANSYS committed to divesting ANSYS' PowerArtist business and Synopsys' Optical Solutions Group to Keysight Technologies, Inc. or another suitable purchaser. Following a public consultation, the CMA concluded that the proposed divestments would resolve competition concerns.
