Closed investigation into Google's proposed acquisition of Mandiant

On 9 June 2022, the Turkish Competition Authority (TCA) closed its investigation into Google's proposed acquisition of Mandiant, a cybersecurity company headquartered in the United States of America. The TCA decided that the acquisition can be conducted, as there is little to no horizontal or vertical overlap between the markets in which Mandiant and Google operate. The TCA also held that the transaction will not increase the concentration of market power, nor reduce effective competition in any relevant market in Turkiye. Since Communiqué No. 2022/2 Concerning Mergers and Acquisitions Requiring the Approval of the Turkish Competition Board was implemented on 4 May 2022, the acquisition of digital platforms, software companies and other technology companies are excluded from the usual notification threshold of TRY 250 million and must always be notified to the TCA. This applies to Google's planned acquisition of Mandiant, as Mandiant is considered a software company.
