European Union: European Commission opened investigation into Naspers’ proposed acquisition of Just Eat Takeaway

On 20 June 2025, the European Commission opened an investigation under Article 4 of the EU Merger Regulation into the proposed acquisition of Just Eat Takeaway by Naspers, through its subsidiary Prosus and indirectly owned MIH BidCo Holdings. The acquisition, announced on 19 May 2025, would give Naspers sole control of Just Eat Takeaway via a public bid. The European Commission’s preliminary review indicated that the transaction could fall within the scope of the Merger Regulation. It invited interested third parties to submit observations within 10 days of publication.
