Indonesia Competition Commission issued ruling in its investigation into TikTok and Tokopedia acquisition over concerns of increased market concentration (Case No. 01/KPPU-M/2025)

On 17 June 2025, the Indonesia Competition Commission (Komisi Pengawas Persaingan Usaha, KPPU) issued a Conditional Approval Stipulation for the acquisition of PT Tokopedia by TikTok Pte. Ltd. (Case No. 01/KPPU-M/2025). The decision followed the acceptance by the business actors of the conditions proposed by KPPU, including commitments to prevent monopolistic practices and unfair competition. These include maintaining non-exclusive payment and logistics options, prohibiting the abuse of market power through practices such as predatory pricing, self-preferencing, and discrimination, and ensuring equal access to platforms for Micro, Small, and Medium Enterprises (MSMEs). Compliance with these obligations will be monitored through mandatory quarterly and annual data submissions on revenue sources, platform fees, cost structures, and partnership agreements over a two-year supervision period ending on 17 June 2027.
