European Union: Issued Commission decision approving acquisition of certain Software AG products by IBM

On 21 June 2024, the European Commission approved the acquisition of sole control of SAG Integration, a special purpose vehicle comprising the webMethods and StreamSets software products of Software AG of Germany, by International Business Machines Corporation (IBM). This decision was made under the EU Merger Regulation, focusing on the enterprise middleware sector. The Commission's investigation concluded that the transaction would not raise competition concerns due to the limited impact on the market and the presence of sufficient alternative providers. Furthermore, it was determined that the merged entity would not be capable of engaging in any foreclosure strategies.
